NSE Cuts IPO Valuation Target as Options Trading Boom Loses Momentum

The National Stock Exchange (NSE) has lowered its valuation expectations for its long-awaited initial public offering (IPO), reflecting growing concerns among investors over the sustainability of India’s once-booming derivatives trading market. The exchange is now considering a valuation of around $47 billion, about 15% below its earlier target of nearly $55 billion.

NSE’s proposed IPO could carry a price band of around ₹1,700-₹1,785 per share, while the exchange may offer approximately 5.5% of its equity to the public. At the upper end of the proposed range, the issue could potentially raise around ₹24,300 crore, making it one of India’s largest market listings.

The valuation adjustment comes after discussions with global investors, who have raised questions about whether NSE can maintain the exceptional growth it recorded during the derivatives boom. India emerged as one of the world’s largest options markets as retail investors increasingly participated in short-term derivatives trading.

However, regulatory interventions aimed at reducing excessive speculation have altered the landscape. Measures introduced by the Securities and Exchange Board of India (SEBI) have sought to strengthen investor protection and curb risks associated with retail participation in derivatives.

NSE’s dependence on options trading has consequently become a key consideration for potential IPO investors. Although the exchange continues to dominate India’s equity and derivatives markets, the slowdown in derivatives activity has prompted questions about its future earnings trajectory. Competition from the Bombay Stock Exchange (BSE) is another factor influencing the outlook. BSE has benefited from the changing derivatives environment and has been attempting to strengthen its position in the rapidly evolving market.

NSE is nevertheless exploring other avenues to diversify its revenue base. Data services, index licensing and commodity derivatives are among the areas that could provide additional growth opportunities. The proposed listing has been closely watched by investors because NSE is one of the most important institutions in India’s financial markets. Its IPO has also faced a prolonged regulatory and legal process, delaying a public debut for years.
