Hindustan Coca-Cola Files Draft Papers for IPO as Overseas Parent Plans Stake Sale

News Mania Desk/ Piyal Chatterjee/ 7th November 2026

Hindustan Coca-Cola Beverages, India’s largest Coca-Cola bottler, has filed draft papers for an initial public offering (IPO), paving the way for its entry into the country’s stock market. The proposed listing will primarily provide an exit opportunity for its overseas majority shareholder, which plans to reduce its stake through a share sale.

According to the draft prospectus, Hindustan Coca-Cola Overseas Holdings intends to sell up to 997.5 million shares through an Offer for Sale (OFS). The proposed transaction will not involve the issuance of fresh shares, meaning the company will not receive any proceeds from the IPO.

The overseas shareholder currently holds a 60 per cent stake in the Indian bottling business. Following the proposed sale, its holding is expected to decline to approximately 45 per cent. Meanwhile, Jubilant Beverages, which owns the remaining 40 per cent, is not participating in the share sale.

The company has not yet announced the IPO’s price band or other key details of the public offering. Several financial institutions, including JPMorgan and Citi, have been associated with preparations for the listing, while six banks have been named as managers in the draft prospectus.

However, the proposed IPO comes at a time when the company’s financial performance has faced pressure. Its revenue declined 9.4 per cent to Rs 11,549 crore in the financial year ended March 2026. The fall was attributed to the transfer of certain territories to other Coca-Cola bottlers as part of its refranchising programme.

Hindustan Coca-Cola operates across 10 states and four Union Territories, manufacturing and distributing popular beverage brands such as Thums Up, Sprite and Maaza. The proposed listing is expected to provide investors an opportunity to participate in India’s rapidly evolving non-alcoholic beverages market while allowing the overseas parent to partially monetise its investment.
